1. Services Provided

Jasper Suarez provides independent consulting services, specializing in Revenue Cycle Management (RCM), Operations & Workflow Automation, and Data Intelligence. The specific scope of work, deliverables, and timelines will be strictly governed by the individual Service Agreement or Contract signed by both parties prior to the commencement of any project.

2. Intellectual Property

​

• Client Ownership: Upon full payment of all undisputed invoices, the Client will own the exclusive rights to the final, completed deliverables (e.g., cleaned databases, finalized process documents, deployed workspaces) created specifically for their business.

• Consultant Ownership: I retain all rights, title, and interest in any underlying methodologies, pre-existing templates, proprietary workflow structures, and base automation code (such as AutoHotkey scripts) used or developed during the project. The Client is granted a non-exclusive license to use these underlying tools solely for their internal business operations.

3. Client Responsibilities

​

The Client agrees to provide timely access to the necessary internal systems, databases, and personnel required for me to execute the contracted services. Delays in providing access or required information may result in adjustments to project timelines.

4. Limitation of Liability

​

My services are provided in a professional and diligent manner based on the data and access provided by the Client. However, I am not liable for any indirect, incidental, or consequential business losses, loss of profits, or data corruption arising from the use of my operational frameworks, automation scripts, or data audits.

5. Governing Law

​

These Terms and Conditions, and any separate service agreements, shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law provisions.

6. Modifications

​

I reserve the right to update or modify these Terms & Conditions at any time. Any changes will be posted on this page with an updated Effective Date.
